Description

📋 How to Add Directors in a Company

1. Check the Company’s Articles of Association (AoA)

  • Review the AoA for rules regarding appointment of directors, number allowed, and process.

2. Board Meeting to Approve Appointment

  • Call a Board Meeting to pass a resolution approving the appointment of the new director(s).

  • Record the resolution in the minutes.

3. Obtain Consent & Documents from Director

  • Get the Director Identification Number (DIN) for the new director (apply if they don’t have one).

  • Obtain Consent to act as Director in Form DIR-2.

  • Get Declaration of non-disqualification in Form DIR-8.

4. File Form DIR-12 with MCA

  • File Form DIR-12 electronically within 30 days of appointment with the Ministry of Corporate Affairs (MCA).

  • Attach scanned copies of board resolution, consent, and other required documents.

5. Update Statutory Registers

  • Update the Register of Directors and key managerial personnel.

  • File necessary returns and maintain records.
