Adding a director to a company means officially appointing a new member to the company’s board of directors, who will help manage and oversee the company’s operations.
Review the AoA for rules regarding appointment of directors, number allowed, and process.
Call a Board Meeting to pass a resolution approving the appointment of the new director(s).
Record the resolution in the minutes.
Get the Director Identification Number (DIN) for the new director (apply if they don’t have one).
Obtain Consent to act as Director in Form DIR-2.
Get Declaration of non-disqualification in Form DIR-8.
File Form DIR-12 electronically within 30 days of appointment with the Ministry of Corporate Affairs (MCA).
Attach scanned copies of board resolution, consent, and other required documents.
Update the Register of Directors and key managerial personnel.
File necessary returns and maintain records.
